Welcome to the Peptsci website (the "Site"). These Terms of Service ("Terms") set out the rules that apply to your access to and use of the Site located at www.peptsci.com, together with any related services, features, content, or applications made available by Peptsci Research d/b/a Peptsci ("Peptsci," "we," "us," or "our").

PLEASE REVIEW THESE TERMS BEFORE USING THE SITE. BY ACCESSING OR USING THE SITE, YOU ACCEPT AND AGREE TO THESE TERMS AND TO OUR PRIVACY POLICY. IF YOU DO NOT ACCEPT THESE TERMS, DO NOT ACCESS OR USE THE SITE.

IMPORTANT: THIS SITE IS DESIGNED EXCLUSIVELY FOR LICENSED HEALTHCARE PROFESSIONALS AND QUALIFIED RESEARCH PERSONNEL. PEPTSCI OPERATES SOLELY AS A MANUFACTURER AND SUPPLIER OF PRODUCTS LABELED FOR PROFESSIONAL USE. PEPTSCI DOES NOT OFFER MEDICAL ADVICE, TREATMENT GUIDANCE, OR CLINICAL RECOMMENDATIONS OF ANY KIND.

1. ACCEPTANCE OF TERMS

1.1 Binding Agreement. By using the Site, you confirm that you have read and understood these Terms and agree to be legally bound by them. If you use the Site on behalf of a company or other organization, you confirm that you are authorized to accept these Terms on that organization's behalf.

1.2 Updates to These Terms. We may revise these Terms from time to time at our discretion. When material changes are made, we will post the updated version on the Site and update the "Last Updated" date above. Continuing to use the Site after changes take effect means you accept the revised Terms. You are responsible for checking this page periodically.

1.3 Supplemental Agreements. Some Site features — such as opening an account or placing product orders — are subject to separate agreements, including our Provider Terms and Conditions. If these Terms conflict with a supplemental agreement, the supplemental agreement governs as to its specific subject matter.

2. SITE PURPOSE AND ELIGIBLE USERS

2.1 Professional Audience Only. The Site is offered exclusively to licensed healthcare professionals — including physicians, nurse practitioners, physician assistants, and other providers legally authorized to prescribe, dispense, or administer products within their scope of practice — and to qualified research institutions. The Site is not directed to consumers or the general public.

2.2 Peptsci's Role. Peptsci acts only as a manufacturer and supplier of products designated "For Professional Use Only." Information on the Site is made available to assist qualified professionals in learning about Peptsci and its catalog. Nothing on the Site should be interpreted as medical advice, clinical direction, or treatment guidance of any kind.

2.3 No Medical Advice. All Site content — including product descriptions, specifications, and technical materials — is informational only and does not constitute:

(a) medical, clinical, or therapeutic advice;

(b) a recommendation for any specific patient, condition, or application;

(d) guidance on regulatory matters or scope-of-practice questions;

(e) any representation about the safety or effectiveness of a product for any use; or

(f) a replacement for independent professional judgment or consultation with qualified legal counsel.

2.4 Professional Judgment. Professionals who use the Site bear sole responsibility for all clinical decisions. Any choice to use a Peptsci product must rest on the professional's own assessment, training, and compliance with all laws and regulations that apply to them.

3. ACCOUNTS

3.1 Registration. Certain Site features require an account. When registering, you must supply information that is accurate, current, and complete, including verification of your professional licensure.

3.2 Eligibility. To open an account you must: (a) be 18 years of age or older; (b) hold a valid, active, and unrestricted license authorizing you to purchase and use Peptsci products; (c) submit truthful information; and (d) accept the Provider Terms and Conditions that govern purchases.

3.3 Credential Security. You are responsible for keeping your login credentials confidential and for everything that happens under your account. You agree to: (a) use a strong, unique password; (b) never share your credentials with anyone; (c) alert Peptsci right away if you suspect unauthorized access or a security incident; and (d) sign out at the end of each session.

3.4 Suspension and Termination. Peptsci may suspend or close your account at any time, with or without notice, for any reason — including suspected violations of these Terms, submission of false information, or fraudulent or illegal activity.

4. ACCEPTABLE USE

4.1 Permitted Activities. You may use the Site only for lawful purposes consistent with these Terms, specifically to: (a) learn about Peptsci and its products; (b) create and manage your account; (c) submit product orders (subject to the Provider Terms and Conditions); and (d) communicate with Peptsci about your account or orders.

4.2 Prohibited Activities. You agree that you will not:

(a) use the Site for any illegal purpose or in violation of any law or regulation;

(b) misstate your identity, credentials, or professional affiliation;

(d) access, or attempt to access, any part of the Site you are not authorized to use;

(e) interfere with or disrupt the Site or any connected servers or networks;

(f) deploy bots, spiders, scrapers, or other automated tools against the Site;

(g) probe, scan, or test the Site's vulnerabilities or circumvent its security;

(h) upload or transmit viruses, malware, or other harmful code;

(i) harvest or collect data from the Site without permission;

(j) use the Site to distribute spam or unsolicited messages;

(k) impersonate Peptsci or any of its personnel or representatives;

(l) copy, distribute, or publicly display Site content without authorization;

(m) reverse engineer, decompile, or disassemble any Site software or technology; or

(n) use the Site in any way that could damage, disable, or degrade it.

4.3 Legal Compliance. You agree to observe all applicable federal, state, and local laws in connection with your use of the Site, including those governing professional licensure, healthcare practice, and the purchase and handling of pharmaceutical or research products.

5. INTELLECTUAL PROPERTY

5.1 Ownership. The Site and everything within it — including text, graphics, logos, images, photography, video, software, source code, data compilations, and their overall selection and arrangement (collectively, the "Content") — belong to Peptsci, its licensors, or other content providers, and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Trademarks. "Peptsci," the Peptsci logo, and all associated names, marks, product names, designs, and slogans are trademarks of Peptsci or its affiliates and may not be used without our prior written consent. All other marks displayed on the Site belong to their respective owners.

5.3 Limited License. Provided you comply with these Terms, Peptsci grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own professional, non-commercial purposes. This license does not permit you to: (a) modify, reproduce, or create derivative works from the Site or Content; (b) exploit the Site or Content commercially beyond what is expressly allowed; (c) strip out copyright, trademark, or other proprietary notices; or (d) transfer, sublicense, or assign your rights under this license.

5.4 Rights Reserved. All rights not expressly granted in these Terms remain with Peptsci. Nothing here should be read as conveying any license or right to the Content except as expressly stated.

6. PRODUCT INFORMATION

6.1 Descriptions. Peptsci works to keep product descriptions, specifications, and related details accurate, but we do not guarantee that any descriptions, pricing, or other Content are error-free, complete, or current. Product photography is illustrative and may differ from the item you receive.

6.2 Regulatory Status. Products presented on the Site are not FDA-approved and carry "For Professional Use Only" labeling. Peptsci makes no representation about any product's regulatory status, lawful uses, safety, or effectiveness for any indication or patient. It is the professional's responsibility alone to determine whether use of a product is lawful and appropriate.

6.3 No Endorsement. Mention of any product, process, publication, or service by name, trademark, or manufacturer does not imply Peptsci's endorsement or recommendation. Scientific or clinical citations that appear on the Site are informational only and do not represent Peptsci's endorsement of any particular application.

6.4 Pricing and Availability. Prices shown on the Site may change at any time without notice. Peptsci may modify, discontinue, or restrict availability of any product without advance notice and is not liable for typographical errors in pricing or product details.

7. DISCLAIMERS

7.1 "As Is" Basis

THE SITE AND ALL OF ITS CONTENT, FEATURES, AND FUNCTIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT ALLOWED BY LAW, PEPTSCI DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7.2 No Guarantee of Accuracy or Availability. Peptsci does not promise that: (a) the Site will be available, uninterrupted, secure, or error-free; (b) defects will be corrected; (c) the Site is free of viruses or other harmful elements; or (d) the Content is accurate, complete, current, or fit for any particular purpose.

7.3 No Clinical Warranty. Peptsci makes no warranty or representation about the safety, effectiveness, regulatory standing, or suitability of any product for any use, indication, or patient. Every clinical decision rests solely with the healthcare professional.

7.4 Third-Party Links. The Site may link to third-party websites or resources. These links are provided for convenience only; Peptsci is not responsible for third-party content, products, or services. You access third-party sites at your own risk and subject to their own terms.

7.5 Product Warranties. The disclaimers in this Section 7 apply only to Site usage. Warranties relating to Peptsci products, if any, are governed exclusively by the Provider Terms and Conditions.

7.6 Jurisdictional Notes. Certain jurisdictions do not permit exclusion of some warranties. Where prohibited, the exclusions above apply only to the extent allowed by law.

8. LIMITATION OF LIABILITY

8.1 Excluded Damages

TO THE MAXIMUM EXTENT ALLOWED BY LAW, PEPTSCI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOSS OF GOODWILL, LOSS OF USE, LOSS OF DATA, OR OTHER INTANGIBLE LOSSES — ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, REGARDLESS OF THE LEGAL THEORY (WARRANTY, CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PEPTSCI WAS ADVISED SUCH DAMAGES WERE POSSIBLE.

8.2 Maximum Liability

TO THE MAXIMUM EXTENT ALLOWED BY LAW, PEPTSCI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) OR THE TOTAL AMOUNT YOU PAID TO PEPTSCI DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

8.3 Allocation of Risk. You acknowledge that Peptsci makes the Site available and enters into these Terms in reliance on the disclaimers and liability limits stated here, which represent a fair allocation of risk between the parties and are a fundamental part of this agreement.

8.4 Product Transactions. The limitations in this Section 8 apply only to Site usage. Liability connected to purchasing, using, or administering Peptsci products is governed exclusively by the Provider Terms and Conditions, which contain their own liability provisions.

8.5 Jurisdictional Notes. Some jurisdictions restrict the exclusion or limitation of certain damages. Where prohibited, the limitations above apply only to the extent allowed by law.

8.6 Failure of Essential Purpose. These liability limitations apply even if a limited remedy is found to have failed of its essential purpose.

9. INDEMNIFICATION

9.1 Your Obligations. You agree to indemnify, defend, and hold harmless Peptsci and its officers, directors, employees, agents, affiliates, successors, and assigns from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

(a) your use of the Site;

(b) your breach of these Terms;

(d) your infringement of any third-party rights, including intellectual property rights;

(e) any material or information you submit through the Site; or

(f) your negligence or intentional misconduct.

9.2 Defense of Claims. Peptsci may, at its own expense, take over the exclusive defense and control of any matter for which you owe indemnification, and you agree to cooperate fully in defending any such claim.

10. PRIVACY

10.1 Privacy Policy. Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference. Please read it to understand how we collect, use, and share personal information.

10.2 Information We Collect. By using the Site, you consent to Peptsci's collection, use, and disclosure of your information as described in the Privacy Policy. This includes information you provide directly, information gathered automatically as you use the Site, and information obtained from third-party sources.

10.3 Cookies. The Site uses cookies and similar technologies to improve your experience, measure usage, and support marketing activities. Your use of the Site constitutes consent to cookies as described in the Privacy Policy.

11. DISPUTE RESOLUTION

11.1 Governing Law. These Terms, and any dispute relating to the Site, are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

11.2 Binding Arbitration. Any dispute, controversy, or claim arising from or relating to these Terms or the Site will be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in Hillsborough County, Florida, before a single arbitrator, whose decision will be final and binding. Judgment on the award may be entered in any court with jurisdiction.

11.3 Jury Trial Waiver

YOU AND PEPTSCI EACH GIVE UP ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING FROM OR RELATING TO THESE TERMS OR THE SITE.

11.4 No Class Actions. All dispute proceedings will be conducted solely on an individual basis. You waive any right to bring or join a class action, class arbitration, or other representative proceeding.

11.5 Limitation Period. Any claim relating to the Site or these Terms must be brought within one (1) year after the claim arises; otherwise, it is permanently barred.

11.6 Equitable Relief. Notwithstanding the above, Peptsci may pursue injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

12. TERMINATION

12.1 By Peptsci. Peptsci may terminate or suspend your access to the Site at any time, with or without cause or notice, effective immediately. Peptsci may also change, suspend, or discontinue the Site (in whole or in part) at any time without notice.

12.2 Effect. When your access ends, your right to use the Site ends immediately. Provisions that should reasonably survive termination — including Sections 5, 7, 8, 9, 11, and 13 — will remain in effect.

12.3 No Liability. Peptsci is not liable to you or anyone else for terminating your access or for modifying, suspending, or discontinuing the Site.

13. GENERAL PROVISIONS

13.1 Entire Agreement. These Terms, together with the Privacy Policy and any supplemental agreements you enter into with Peptsci, make up the complete agreement between you and Peptsci concerning the Site and replace all earlier understandings.

13.2 Severability. If any part of these Terms is held invalid or unenforceable, that part will be adjusted to the minimum degree needed to make it enforceable, and the rest of the Terms will remain in full effect.

13.3 No Waiver. Peptsci's decision not to enforce any provision of these Terms does not waive that provision. Any waiver must be in writing and signed by Peptsci.

13.4 Assignment. You may not assign these Terms or any rights or obligations under them without Peptsci's prior written consent. Peptsci may assign these Terms to an affiliate, subsidiary, or successor without your consent. These Terms bind and benefit the parties and their respective successors and permitted assigns.

13.5 No Third-Party Rights. These Terms create no rights for third parties. Nothing here confers any right or remedy on anyone other than you and Peptsci.

13.6 Force Majeure. Peptsci is not responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, acts of war or terrorism, civil unrest, government actions, or failures of internet or telecommunications infrastructure.

13.7 Headings. Section headings are for reference only and carry no legal meaning.

13.8 Electronic Notices. By using the Site, you agree to receive communications from Peptsci electronically, and you agree that electronic agreements, notices, and disclosures satisfy any legal requirement that they be in writing.
